Take-Two Interactive, is currently in talks to acquire Codemasters, the developers behind the Dirt, F1, and Project Cars racing franchises. If the deal goes through, Take-Two will add Codemasters to its roster of developers which includes Rockstar, 2K, Private Division, and more.



In a press release, Take-Two announced their intentions to acquire the entire share capital of Codemasters. According to the press release, the Board of Codemasters intends to recommend to shareholders to accept Take-Two’s offer.

“Take-Two believes that the combination of Take-Two and Codemasters would bring together two world-class interactive entertainment portfolios, with a highly complementary fit between Take-Two's 2K publishing label and Codemasters in the racing genre,” Take-Two stated.

“In addition, Take-Two believes that it can bring benefits to Codemasters' performance by leveraging Take-Two's global distribution network and 2K’s core operating expertise in publishing, including live operations, analytics, product development, and brand and performance marketing.”
Take-Two currently owns several major properties such as Rockstar’s Grand Theft Auto and Red Dead Redemption. They also own 2K, makers of the popular NBA 2K, PGA Tour, and Mafia franchises among others. Take-Two has also made ventures into smaller (or at least less massive) labels like Private Division, which published Obsidian’s The Outer Worlds and the Kerbal Space Program franchise.

Projects currently in development at Take-Two's various outfits include GTA 5 for PS5 and Xbox Series X, as well as a new BioShock game developed by the newly formed Cloud Chamber.
The deal is still tentative, pending due diligence checking.

Codemasters also recently published the Fast & the Furious Crossroads game.

People seem to think this will mean more microtransactions, however, Codemasters already had a really stupid DLC policy for Dirt Rally 2.0. Squeezing money from their fans isn't new to them. I was lucky enough to get into sim rally after the GOTY edition came out with all the DLC, but buying that game in parts would have been a fucking bummer.

And Codemasters got the WRC license already, so the next big rally game (Dirt Rally 3.0?) will be absolutely massive without WRC stealing some of the thunder away with their own game.

Update 11/10/2020: Take-Two has announced that it's reached an agreement to acquire Codemasters in a cash-and-shares deal, valuing the UK developer/publisher at $994 million (£759 million). The acquisition is expected to complete in Q1 2021.
In a statement, Take-Two CEO Strauss Zelnick explained why the acquisition fit: “Codemasters has a renowned history of creating some of our industry's most beloved and commercially successful racing franchises, and we believe that their offerings will be highly complementary to our sports portfolio and enhance further our organization's long-term growth."

Codemasters includes not just the development studio, but its publishing arm. Codemasters itself acquired Project Cars developer Slightly Mad last year.

If I understand things correctly Codemasters suck a whole lot of dick as is, honestly I don't imagine many people are gonna cry that much over them going to T2. Because even assuming they fuck them up even more frankly they're already a bit of a joke to many as is, just look at some of the recent shit with the Project CARS series for example.
 
I suspect this means we won't be getting cheap discounts or free games anymore. Right now you can get GRID ultimate and Dirt Rally 2.0 GOTY for 3.33 USD a piece from the current fanatical bundle. Both of these games have all DLC included, and were released in 2019. That's a pretty fast discount. Codemasters has given out several games for free, on multiple occasions.

Even with the GOTY edition there was still loads missing compared to Dirt 4, for example the Dirtfish arena was completly barren and all the challenges had been removed. Plus the game was so brutally difficult that for me it took out all the fun.

Oddly it's never affected the F1 games though, but I guess we can look forward to having to watch ads whilst waiting for the track to load in F1 2021

EA outbid (((Zelnick))) in Codies purchase

Electronic Arts is allegedly attempting to outbid Take-Two Interactive's nearly $1 billion offer to acquire Codemasters, the developers behind the Dirt, F1, and Project Cars racing franchises.


As reported by Sky News, EA has "tabled a potentially knockout bid for Codemasters, trumping an offer agreed last month with Take-Two Interactive Software, maker of the Red Dead franchise.

Take-Two's attempt to acquire Codemasters was announced in November, and EA is said to be looking to outbid the £725 million (~$969 Million USD) offer that was placed.

While EA's offer has not been revealed, Sky News notes that it is working with bankers at UBS on its offer and that it will likely to be disclosed to the stock market on Monday, December 14, and will be a "substantial premium to Codemasters' closing share price on Friday of 534p."

Take-Two's offer is a cash-and-shares deal, which means that the value of the proposal fluctuates depending on the stock market. Additionally, certain fund managers who own Codemasters have "reportedly expressed dissatisfaction with the Take-Two deal because of its equity component and the comparatively modest premium it represented to the British company's undisturbed share price."

Codemasters' latest game, Dirt 5, was released alongside the launch of the PlayStation 5 and Xbox Series X/S. In our Dirt 5 review, we said that it "represents a complete about-face for the main Dirt series, shedding virtually all semblance of simulation in favour of an unabashed, arcade-inspired racing experience that draws from just about every influence you can name except its direct predecessor.

EA is building quite the portfolio of aggressively mediocre racing games. In addition to NFS Heat, they will now also own Dirt 5, GRID 2019 and Project Cars 3.
